Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the Proxima platform and all related services (“Services”). By accessing or using our Services, you agree to comply with these Terms. If you do not agree, you may not access or use Proxima.

1. Eligibility and Access

To use the Services, you must be at least 18 years old and possess the legal authority to enter into a binding agreement. You are responsible for ensuring the confidentiality and security of your account credentials, and for all actions taken under your account.

You agree to provide accurate, complete, and updated information as part of the registration process. Failure to maintain up-to-date information may result in suspension or termination of access.

2. Use of Services

You may use Proxima only for lawful and authorized purposes in line with your internal business operations. You agree not to use the Services to:

  • Upload or distribute any content that is illegal, harmful, or infringes upon the rights of others.

  • Attempt to probe, scan, or test the vulnerability of the platform or any associated networks.

  • Copy, modify, distribute, sell, or lease any part of our Services without our written permission.

  • Engage in fraudulent or misleading activity using the platform.

Proxima reserves the right to monitor usage for compliance, prevent abuse, and improve functionality. Unauthorized use may result in termination and potential legal action.

3. Ownership and Rights

All content, software, user interface elements, branding, and intellectual property displayed on or used by Proxima are the exclusive property of Proxima or its licensors.

By using the Services, you are granted a limited, revocable, non-transferable, and non-exclusive license to access and use the platform in accordance with these Terms. This license does not permit resale, redistribution, or exploitation of the Services.

4. Confidentiality and Data

Proxima values your privacy and treats all user data with confidentiality. While we take strong measures to protect the data you submit, you acknowledge that use of any online service involves inherent security risks.

You retain full ownership of your data but grant Proxima the right to store, analyze, and process your information strictly for the purpose of providing and improving the Services.

You are responsible for ensuring that any data you upload complies with relevant laws and does not infringe upon third-party rights.

5. Modifications and Updates

Proxima may update or modify the Services or these Terms at any time to reflect changes in technology, business needs, or legal requirements. We will provide reasonable notice of any significant changes.

By continuing to use the Services after such updates take effect, you agree to the revised Terms. If you do not agree to the changes, your only option is to discontinue use of the Services.

6. Termination

Proxima reserves the right to terminate or suspend your account and access to the Services, without notice, if you violate these Terms, misuse the platform, or pose a risk to other users or the system's integrity.

Upon termination, all licenses granted to you under these Terms will immediately cease. Proxima is not obligated to retain or provide access to your data after termination, unless required by law.

7. Limitation of Liability

To the fullest extent permitted by law, Proxima shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the Services.

This includes, but is not limited to, loss of profits, data, business opportunities, or goodwill, whether based in contract, tort, or otherwise—even if Proxima was advised of the possibility of such damages.

8. Governing Law

These Terms are governed by and shall be interpreted in accordance with the laws of the jurisdiction in which Proxima operates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts located in that jurisdiction.

Both parties agree to resolve any conflict through mediation or negotiation before pursuing legal remedies.
